TERMS OF USE

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Crafbyte LLC, a limited liability company organized under the laws of the United States ("Crafbyte"). By accessing, browsing, or using our website at crafbyte.com (the "Site") or any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Crafbyte reserves the right to modify these Terms at any time. Changes become effective upon posting to the Site. Your continued use of the Site after any modification constitutes your acceptance of the revised Terms.

Crafbyte grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal or internal business informational purposes. This license does not permit: (a) resale or commercial use of the Site or its content; (b) collection and use of product listings, descriptions, or prices; (c) any derivative use of the Site or its content; (d) downloading or copying of account information for another's benefit; (e) any use of data mining, robots, or similar data gathering tools.

The Crafbyte name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Crafbyte. You must not use such marks without our prior written permission.

4. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND PRODUCTS AVAILABLE THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CRAFBYTE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CRAFBYTE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRAFBYTE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE;
  • ANY CONTENT OBTAINED FROM THE SITE;
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN ANY EVENT, CRAFBYTE'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

6. Indemnification

You agree to defend, indemnify, and hold harmless Crafbyte, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Site, including, but not limited to, your User Contributions;
  • Your violation of any third-party rights, including without limitation any intellectual property or privacy rights;
  • Any claim that your User Contributions caused damage to a third party.

7. User Conduct

You agree not to use the Site to:

  • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or invasive of another's privacy;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Engage in any activity that could disable, overburden, damage, or impair the Site;
  • Use any robot, spider, or other automated device to access the Site;
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other harmful material;
  • Attempt to gain unauthorized access to any portion of the Site or any systems connected to the Site;
  • Collect or harvest any personally identifiable information from the Site.

8. Third-Party Links and Content

The Site may contain links to third-party websites or services that are not owned or controlled by Crafbyte. Crafbyte has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and conditions and privacy policy of any third-party website you visit. Crafbyte shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such third-party websites.

9. Digital Millennium Copyright Act (DMCA)

Crafbyte respects the intellectual property of others. If you believe that material on the Site infringes upon a copyright you own or control, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by sending a written communication to our designated copyright agent at: legal@crafbyte.com. 11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11.2 Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

11.3 Class Action Waiver

YOU AND CRAFBYTE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

11.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

12. Termination

Crafbyte reserves the right, in its sole discretion, to terminate your access to all or part of the Site, without notice, for any reason, including without limitation, breach of these Terms. Upon termination, you must destroy any downloaded materials in your possession.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and Crafbyte concerning your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
