These Terms and Conditions ("Terms") are entered into between Crafbyte ("Company", "We", "Us") and any person or entity ("User", "Client", "You") accessing or using the website crafbyte.com or any services provided by Crafbyte.
Crafbyte is an international web design and digital agency.
By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
2.1. Crafbyte provides the following services: - Web design and development - Digital marketing and consulting - UI/UX design - Software development and integration - Other related digital services
2.2. The specific scope, deliverables, and pricing are defined in a separately executed Service Agreement or Statement of Work.
2.3. Crafbyte reserves the right to modify, suspend, or discontinue any part of its services at any time without prior notice.
3.1. You agree to use our website and services only for lawful purposes and in accordance with these Terms.
3.2. You agree not to: - Provide false, inaccurate, or misleading information - Infringe the rights of any third party - Transmit any harmful, offensive, or malicious content or code - Attempt to gain unauthorised access to any systems or networks - Infringe any intellectual property rights
3.3. You are solely responsible for the accuracy of information you provide to us.
4.1. All designs, software, visuals, content, and materials created by Crafbyte remain the property of Crafbyte unless otherwise agreed in writing in the applicable Service Agreement.
4.2. Upon receipt of full payment, Crafbyte grants the Client a usage licence for the final deliverables as specified in the Service Agreement.
4.3. You may not copy, distribute, modify, or commercially exploit any of Crafbyte's intellectual property without prior written consent.
4.4. Crafbyte retains the right to use completed projects in its portfolio, for references, and for marketing purposes. Clients wishing to opt out must notify Crafbyte in writing.
5.1. Service fees are set out in the applicable Service Agreement or quotation.
5.2. All fees are exclusive of VAT unless stated otherwise. VAT at the applicable UAE rate (currently 5%) will be added where required.
5.3. Payments are due on the dates and by the method specified in the Service Agreement.
5.4. Crafbyte reserves the right to suspend services and/or charge interest on overdue payments at the UAE Central Bank's prevailing rate.
5.5. Fees paid for commenced projects are non-refundable unless otherwise agreed in writing.
6.1. To the maximum extent permitted by applicable law, Crafbyte shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to: - Loss of revenue, profits, or business - Loss of data or system downtime - Issues arising from third-party services - Force majeure events
6.2. Crafbyte's total aggregate liability under or in connection with these Terms shall not exceed the total fees paid by the Client for the relevant services.
6.3. Crafbyte is not responsible for the content or practices of any third-party websites linked from our site.
7.1. Both parties agree to keep confidential all proprietary information disclosed in the course of the business relationship and not to disclose it to third parties without the other party's written consent.
7.2. This obligation survives termination of the relationship for a period of 3 (three) years.
7.3. Publicly available information is not subject to this obligation.
8.1. Processing of personal data is governed by our separate Privacy Policy.
8.2. Crafbyte complies with the UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection (PDPL).
9.1. Crafbyte reserves the right to suspend or terminate access to its services immediately if a User breaches these Terms.
9.2. Either party may terminate an ongoing service engagement by providing written notice as specified in the applicable Service Agreement.
10.1. These Terms are governed by and construed in accordance with the laws of the United Arab Emirates.
10.2. For Clients engaged under a DIFC entity: these Terms shall be governed by DIFC Law and disputes resolved before the DIFC Courts.
10.3. For all other Clients: disputes shall be referred first to negotiation; failing which, to the competent courts of the Emirate of Dubai.
11.1. Crafbyte reserves the right to update these Terms at any time.
11.2. Changes take effect upon publication on our website.
11.3. Continued use of our services after any changes constitutes acceptance of the updated Terms.
